These Platform Terms and Conditions apply to all individuals ("Customers") who register with the Taxi/Delivery App — operated by Diakite Autos Limited — to request ride-Delivery and delivery services in Nigeria. By downloading the App or creating an account, you agree to be bound by these Terms. Please read them carefully before use.

About Diakite Autos Limited & Our Relationship with You
Overview
- 1.1Diakite Autos Limited operates an online platform in Nigeria (the "Taxi/Delivery App" or the "Platform") that intermediates and matches independent transportation and delivery service providers ("Service Providers") with individuals who wish to request those services ("Customers").
- 1.2As a Customer, you may access the Platform in accordance with these Terms to review available Service Providers and, at your discretion, request and purchase Ride-Delivery or Delivery Services. Additional charges — such as cancellation fees or cleaning fees — may apply as set out in Section 7.
- 1.3Any contract for the provision of Ride-Delivery or Delivery Services is formed directly between you and the relevant Service Provider. Where Diakite Autos Limited collects payments from you on behalf of Service Providers, it does so as their duly appointed agent.
- 1.4Diakite Autos Limited may charge you Platform Fees for the intermediation services we provide to you, as set out in Section 6.
- 1.5Your personal data will be processed in accordance with our Privacy Policy, available at diakiteautos.com/privacy.
- 1.6You must be at least eighteen (18) years old to register as a Customer and use the Platform.
Our Role as Agent of Service Providers
- 1.7By accessing the Platform, Service Providers appoint Diakite Autos Limited as their agent to negotiate and facilitate contracts for Ride-Delivery and Delivery Services between Service Providers and Customers. This authorisation allows us to: (a) match you with available Drivers; (b) calculate and communicate all Fares, including estimated Fares and applicable toll charges; (c) collect Fares, Cancellation Fees, and Cleaning Fees payable by you on behalf of Service Providers, and remit such amounts accordingly; and (d) issue receipts and/or invoices on a Service Provider's behalf.
- 1.8Please note that Service Providers are required to pay a commission to Diakite Autos Limited on amounts collected from Customers in connection with Ride-Delivery and Delivery Services. Service Providers are not prevented from providing ride-Delivery or delivery services outside the Platform.

About These Terms & the Platform
- 2.1These Terms take effect from the date you first register as a Customer, or from 1 June 2025 — whichever is later — and remain in force until terminated by either you or Diakite Autos Limited in accordance with Section 12.
- 2.2Diakite Autos Limited may amend these Terms and/or the Platform by providing you with reasonable notice before those changes take effect. If you do not agree with any changes, you may terminate your account in accordance with Section 12.
- 2.3Diakite Autos Limited may also make changes immediately and without prior notice where: (a) you consent to the changes; (b) the changes are aesthetic or functional improvements that do not materially affect your use; (c) the changes are urgently required to comply with applicable Nigerian law or regulation; or (d) urgent precautions are necessary to address cybersecurity risks, suspected unlawful activity, or imminent threats to users.
- 2.4The content and functionality of the Platform is provided on an "as is" and "as available" basis. Diakite Autos Limited makes no guarantee as to the continuous availability of the Platform or any of its features.

Your Rights of Access to the Platform
- 3.1Subject to these Terms, Diakite Autos Limited grants you a non-exclusive, revocable, royalty-free right to use the Platform solely to access, review, and request Ride-Delivery or Delivery Services.
- 3.2Your right to access the Platform is conditional upon: (a) your ability to verify your identity and log-in credentials at all times; (b) your continued compliance with all applicable Nigerian laws and regulations; and (c) your use of the Platform in a manner that does not harm its integrity, security, or reputation.
- 3.3To prevent unauthorised access, Diakite Autos Limited may require periodic identity or credential verification. You must not share your account credentials with any third party.

Information You Submit to the Platform
- 4.1You must ensure that all information you provide to Diakite Autos Limited in connection with your use of the Platform is accurate, complete, and up to date. This includes your full name, contact details, photographic identification (where required), home or business address, payment method details, and tax identification where applicable.
- 4.2You are solely responsible for ensuring that all information and content you submit to the Platform is lawful. Diakite Autos Limited reserves the right to remove any unlawful content from the Platform at any time without prior notice.
- 4.3Diakite Autos Limited may, after prior warning, suspend processing of objections or complaints where manifestly unfounded or frivolous submissions are made repeatedly in bad faith.

Ride-Delivery & Delivery Services
- 5.1Subject to these Terms, you may access the Taxi/Delivery App to request services from available Service Providers in your vicinity. Service availability may vary by location, time of day, and category of service.
- 5.2A request for Ride-Delivery or Delivery Services constitutes an offer by you to enter into a contract with a Service Provider. The contract is formed when a Service Provider accepts your request through the Platform. Diakite Autos Limited may contact you about your request but this does not itself constitute acceptance.
- 5.3Service Providers are independent contractors and are not employees, agents, or representatives of Diakite Autos Limited. Diakite Autos Limited does not control the manner in which Service Providers operate their vehicles or conduct their services, except to the extent required by these Terms and applicable law.
- 5.4Diakite Autos Limited may, from time to time, introduce new service categories, features, or vehicle types on the Platform. Details of any specific category requirements will be made available within the App.
Note for Customers: Diakite Autos Limited acts as a technology intermediary only and is not itself a transport or delivery company. Your service agreement is with the independent Service Provider who accepts your request.

Fares & Platform Fees
- 6.1All Fares are calculated by Diakite Autos Limited on behalf of Service Providers and are displayed to you in the App before you confirm your booking. Fares are based on factors including distance, estimated trip duration, time of day, demand levels, and applicable tolls.
- 6.2Estimated Fares are indicative only. The final Fare may differ from the estimate due to changes in route, traffic conditions, waiting time, or other variables.
- 6.3Diakite Autos Limited may apply surge pricing during periods of high demand. Where surge pricing applies, you will be notified clearly within the App prior to confirming your request.
- 6.4Diakite Autos Limited may charge Platform Fees to Customers for the intermediation services provided. Platform Fees, where applicable, will be disclosed to you within the App before you confirm your request.
- 6.5Payment may be made via the App using any payment method enabled on your account, including card payment, wallet balance, or other methods made available by Diakite Autos Limited from time to time.
- 6.6Receipts will be issued electronically upon completion of each trip or delivery.

Cancellations, Cleaning Fees & Compensation
- 7.1You may cancel a booking at any time before the Service Provider arrives. Cancellation fees may apply if you cancel after a defined waiting period, as notified in the App at the time of booking.
- 7.2A cleaning fee may be charged to your account where a Service Provider reasonably determines that the condition of the vehicle has been materially affected during a trip (for example, due to spillage, soiling, or damage caused by the Customer). Evidence supporting such a charge will be made available to you upon request.
- 7.3Where a Service Provider cancels a confirmed booking without reasonable cause, you may be entitled to compensation, the details of which will be set out within the App.
- 7.4Disputes relating to cancellation fees or cleaning fees should be raised with Diakite Autos Limited's customer support team within seven (7) days of the relevant trip.

Customer Conduct & Obligations
As a Customer, you agree to:
- 8.1Treat all Service Providers and other Platform users with respect and dignity at all times. Threatening, abusive, discriminatory, or violent behaviour towards any Service Provider is strictly prohibited and may result in immediate account suspension.
- 8.2Comply with all applicable laws and regulations of the Federal Republic of Nigeria while using the Platform or the services of any Service Provider.
- 8.3Not use the Platform for any unlawful purpose, including the transportation or delivery of prohibited goods or substances.
- 8.4Not attempt to circumvent or defraud the Platform's payment systems, or collude with Service Providers to avoid Platform fees.
- 8.5Not submit false, misleading, or defamatory reviews or ratings for any Service Provider.
- 8.6Wear a seatbelt at all times during a ride and comply with reasonable safety instructions given by the Service Provider.
Diakite Autos Limited reserves the right to suspend or permanently deactivate any Customer account where conduct is found to be in breach of these obligations, without further liability to the Customer.

Lost Items
- 9.1If you leave an item in a Service Provider's vehicle after the conclusion of a trip, the Service Provider will endeavour to contact you promptly via the App to arrange its return.
- 9.2Where you cannot be identified or contacted, the Service Provider will use reasonable judgement to estimate the value of the item and act as follows: (a) Items estimated at a value below ₦90,000 will, where reasonably practicable, be brought to a Diakite Autos Limited designated office, where they will be held in safekeeping for a period of thirty (30) days. Diakite Autos Limited will make reasonable efforts to identify and notify the rightful owner. Items unclaimed after 30 days may be disposed of in accordance with applicable Nigerian law. (b) Items estimated at a value exceeding ₦90,000, or where it is not practicable to bring the item to our offices, will be transported by the Service Provider to the nearest police station; the Service Provider will promptly notify Diakite Autos Limited's customer support of this action.
- 9.3Diakite Autos Limited shall not be liable for any loss or damage to your belongings while in safekeeping, except where such loss or damage arises from our wilful misconduct or gross negligence.
- 9.4You are responsible for promptly reporting any lost item to Diakite Autos Limited's customer support and providing information to assist in its identification and return.

Business Accounts
- 10.1Diakite Autos Limited offers a business account service ("Diakite Business") that enables companies and corporate entities to manage and pay for Platform services used by their employees or authorised users.
- 10.2Corporate customers may generate discount codes or vouchers through the Diakite Business Dashboard, enabling authorised users to have the cost of rides or deliveries partially or fully covered by the company.
- 10.3A service fee of 10% of the total value of services consumed by users under a Business Account is applicable, unless otherwise agreed in writing between the corporate customer and Diakite Autos Limited.
- 10.4Corporate customers are solely responsible for ensuring that only authorised personnel use codes issued under their Business Account and for all resulting charges.
- 10.5Separate terms and conditions apply to Diakite Business accounts and are available upon registration at the Diakite Business portal.

Limitation of Liability & Disclaimers
- 11.1Diakite Autos Limited acts solely as a technology intermediary and is not responsible for the quality, safety, legality, or any other aspect of the Ride-Delivery or Delivery Services provided by Service Providers.
- 11.2To the fullest extent permitted by applicable Nigerian law, Diakite Autos Limited's total aggregate liability to you in connection with your use of the Platform shall not exceed the total amount of Platform Fees paid by you in the three (3) months preceding the event giving rise to the claim.
- 11.3Diakite Autos Limited shall not be liable for any indirect, consequential, special, or punitive losses or damages arising from your use of the Platform or the services of any Service Provider.
- 11.4Nothing in these Terms limits or excludes Diakite Autos Limited's liability for death or personal injury caused by its own negligence, or for fraud or fraudulent misrepresentation.

Suspension & Termination
- 12.1You may close your account and terminate these Terms at any time by contacting Diakite Autos Limited's customer support or by using the account deletion function within the App.
- 12.2Diakite Autos Limited may suspend or terminate your access to the Platform at any time, with or without notice, where: (a) you are in material breach of these Terms; (b) continued access poses a risk to the safety, integrity, or reputation of the Platform or any other user; or (c) we are required to do so by law or a competent authority.
- 12.3Where your account is suspended or terminated, you may submit an appeal to Diakite Autos Limited's customer support within fourteen (14) days. We will review your appeal and notify you of our decision within a reasonable time.
- 12.4Upon termination for any reason, all outstanding Fares and Platform Fees remain due and payable. Provisions of these Terms that by their nature should survive termination (including Sections 11, 13, and 14) shall continue to apply.

Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The parties submit to the exclusive jurisdiction of the courts of Nigeria for resolution of any dispute arising under or in connection with these Terms.

Contact & Dispute Resolution
- 14.1For any queries, complaints, or disputes arising from your use of the Platform or the services of any Service Provider, please contact Diakite Autos Limited's customer support team in the first instance via the in-App support function or at: info@diakiteautos.com.
- 14.2We aim to acknowledge all complaints within 48 hours and resolve them within 14 business days. Where a complaint cannot be resolved within that period, we will keep you informed of progress and the expected resolution timeline.
- 14.3Where a dispute cannot be resolved through customer support, the parties agree to attempt resolution through good-faith negotiation before commencing any legal proceedings.
- 14.4You may also contact the Consumer Protection Council of Nigeria or any other competent regulatory body if you believe your consumer rights have been infringed.
